We operate the website Yohanna.org (the "Site"), the mobile application Yohanna (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Yohanna is an app focused on spiritual growth. It offers illustrated Bible verses, daily inspiration, and guided journeys through your exploration. You can explore verses with visuals, see a featured verse each day, request for prayers. With a simple layout, Yohanna makes it easy to connect with your faith in a clear and engaging way.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Yohanna Foundation, and concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Your use of our Services

Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. Except as set out here or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any purpose whatsoever, without our express prior written permission.

Your submissions and contributions

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, without acknowledgment or compensation to you.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services ("Contributions"). Any Submission that is publicly posted shall also be treated as a Contribution. You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites. When you post Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Contributions (including, without limitation, your image, name, and voice) for any purpose, and to prepare derivative works of, or incorporate into other works, your Contributions, and to sublicense the foregoing. You are responsible for what you post or upload. By sending Submissions and/or posting Contributions, you confirm you have read and agree with our "Prohibited Activities" and will not post any illegal or infringing content; to the extent permissible by applicable law, you waive any moral rights in such Submissions and/or Contributions; you warrant they are original to you or you have necessary rights and licenses; and you warrant they do not constitute confidential information. We may remove or edit Contributions at any time and may suspend or disable your account and report you to authorities. 3. User Representations

By using the Services, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update such registration information as necessary
  • You have the legal capacity and you agree to comply with these Legal Terms
  • You are not under the age of 18
  • You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services
  • You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise
  • You will not use the Services for any illegal or unauthorized purpose
  • Your use of the Services will not violate any applicable law or regulation

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Products

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Services. However, we do not guarantee that such details will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products. All products are subject to availability and we reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

6. Purchases and Payment

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services and to promptly update account and payment information so that we can complete your transactions and contact you as needed. Sales tax will be added as required. We may change prices at any time. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We reserve the right to refuse any order and to limit or cancel quantities purchased per person, per household, or per order, including where orders appear to be placed by dealers, resellers, or distributors.

7. Subscriptions

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Cancellation

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at contact@yohanna.org.

8. Return/Refunds Policy

Please review our Return Policy posted on the Services prior to making any purchases. All sales are final and no refund will be issued.

9. Software

We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use. If not, we grant you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with our Services and in accordance with these Legal Terms. Any software and related documentation are provided “AS IS” without warranty of any kind.

10. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us
  • Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means
  • Circumvent, disable, or otherwise interfere with security-related features of the Services
  • Engage in unauthorized framing of or linking to the Services
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
  • Make improper use of our support services or submit false reports of abuse or misconduct
  • Engage in any automated use of the system, such as using scripts to send comments or messages
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services
  • Attempt to impersonate another user or person or use the username of another user
  • Use the Services for any illegal or unauthorized purpose
  • Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services
  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services
  • Use the Services in a manner inconsistent with any applicable laws or regulations

11. User Generated Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials (collectively, "Contributions"). Contributions may be viewable by other users and through third-party websites and may be treated as non-confidential and non-proprietary.

When you create or make available any Contributions, you represent and warrant that you have all necessary rights; your Contributions are not false, misleading, or unlawful; do not violate privacy, publicity, or child protection laws; and do not include discriminatory, obscene, or otherwise objectionable content, and do not violate these Legal Terms or any applicable law or regulation.

12. Contribution License

By posting Contributions, you automatically grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose, and to prepare derivative works of or incorporate into other works such Contributions, and to grant and authorize sublicenses of the foregoing. You waive all moral rights in your Contributions.

We do not assert ownership over your Contributions. You retain full ownership and any intellectual property or other proprietary rights associated with them. We may edit, re-categorize, pre-screen, or delete any Contributions at any time for any reason, without notice. We have no obligation to monitor your Contributions.

13. Guidelines for Reviews

Reviews must reflect firsthand experience, avoid offensive or discriminatory language, avoid references to illegal activity, and must not be false or misleading. You should not be affiliated with competitors when posting negative reviews or organize campaigns encouraging others to post reviews. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable license to reproduce, modify, translate, transmit, display, perform, and/or distribute all content relating to reviews.

14. Mobile Application License

Use License

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless devices you own or control and to access and use the App strictly in accordance with these Legal Terms. You shall not reverse engineer, modify, violate laws, remove notices, make the App available over a network for multiple users, create a competitive product, send automated queries, or use our IP to build accessories or devices for use with the App.

Apple and Android Devices

Terms apply when using the App obtained from App Distributors (Apple App Store, Google Play, Amazon App Store). We are responsible for App maintenance and support as required by law. In the event of any failure to conform to any warranty, you may notify the App Distributor for a refund of the purchase price, if any. You represent you are not in an embargoed country and not on any prohibited list. App Distributors are third-party beneficiaries of these terms and may enforce them.

15. Social Media

You may link your account with third-party service providers ("Third-Party Accounts"). By granting us access, you understand we may access and store content from your Third-Party Accounts so it is available via the Services. If a Third-Party Account becomes unavailable or our access is terminated, related content may no longer be available on the Services. You can disable connections at any time. Your relationship with third-party providers is governed solely by your agreements with them.

16. Third-Party Websites and Content

The Services may contain links to other websites ("Third-Party Websites") as well as content belonging to or originating from third parties ("Third-Party Content"). Such websites and content are not investigated or monitored by us, and we are not responsible for them. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or Content does not imply approval or endorsement by us. Your use of Third-Party Websites and Content is at your own risk and subject to their terms and policies.

17. Charity Recommendations and Grantmaking

All redemptions result in a grant from Yohanna Foundation, a U.S. 501(c)(3) public charity, made at our sole discretion. While you may recommend a qualified charitable organization to receive a grant, Yohanna Foundation retains final authority over all grant recipients and amounts.

Grants will only be made to organizations that are in good standing under applicable U.S. law and, for international charities, are eligible to receive foreign contributions under the laws of their country (including, where applicable, valid government registrations such as India's FCRA).

Inclusion of an organization's name in this app does not imply any affiliation, endorsement, or sponsorship. If a recommended charity is not eligible or able to receive funds, Yohanna Foundation may direct the grant to a similar qualified charity.

18. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms; take appropriate legal action; refuse, restrict, limit, or disable any Contributions; remove files and content that are excessive in size or burdensome to our systems; and otherwise manage the Services to facilitate proper functioning.

19. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy: Yohanna.app/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised that the Services are hosted by a cloud service provider, and the location of data processing may change as needed to ensure service quality and compliance.

20. Digital Millennium Copyright Act (DMCA) Notice and Policy

Notifications

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent (a "Notification"). All Notifications should meet the requirements of DMCA 17 U.S.C. § 512(c)(3).

  • A physical or electronic signature of a person authorized to act on behalf of the owner;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing and information to locate it;
  • Information reasonably sufficient to permit us to contact the complaining party;
  • A statement of good faith belief that use of the material is not authorized;
  • A statement that the information is accurate and, under penalty of perjury, you are authorized to act.

Counter Notification

If you believe your material has been removed or disabled by mistake or misidentification, you may submit a Counter Notification including: identification of the material and location before removal; your consent to jurisdiction; your contact information; a statement under penalty of perjury of good faith belief; and your signature. Upon receipt of a valid Counter Notification, we may restore the material unless we receive notice of court action.

21. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

22. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We will not be liable for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. You agree we have no liability for any loss or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

23. Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the USA applicable to agreements made and to be entirely performed within USA, without regard to its conflict of law principles.

24. Dispute Resolution

Informal Negotiations

To expedite resolution and control costs, the Parties agree to first attempt to negotiate any Dispute informally for at least 15 days before initiating arbitration. Informal negotiations commence upon written notice from one Party to the other.

Binding Arbitration

If unresolved, the Dispute will be finally and exclusively resolved through binding arbitration under the AAA Commercial Arbitration Rules and, where appropriate, the AAA Consumer Rules. Arbitration may be conducted in person, through documents, by phone, or online. Except as required by applicable rules or law, arbitration will take place in the USA. If a Dispute proceeds in court rather than arbitration, it shall be commenced in the state or federal courts in the USA. In no event shall any Dispute be commenced more than 1 year after the cause of action arose.

Restrictions

Any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with any other proceeding; no class actions or representative proceedings are permitted.

Exceptions

The Parties agree that Disputes regarding intellectual property, theft, piracy, invasion of privacy, unauthorized use, or claims for injunctive relief are not subject to the above provisions concerning informal negotiations and binding arbitration.

25. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors and to change or update information at any time without prior notice.

26. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

27. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

28. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, arising out of your Contributions, use of the Services, breach of these Legal Terms, violation of rights of a third party, or any harmful act toward another user.

29. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you undertake using the Services.

30. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures and records, and you waive any rights or requirements under any laws which require an original signature or non-electronic records.

32. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us. These Legal Terms will not be construed against us by virtue of having drafted them. You waive any defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties.
